Paris – 24th March 2025. A consortium comprising CD&R, Everest UK HoldCo Limited, an entity controlled by the Permira funds, and Olivier Breittmayer, announce today the completion of the acquisition and subsequent delisting of Exclusive Networks (“the Company”), a leading global cybersecurity specialist.
On July 24, 2024, CD&R, Permira, and Olivier Breittmayer, the Company’s founder, formed a consortium to acquire, indirectly through a newly formed dedicated vehicle controlled by CD&R and Permira (“BidCo”), shares representing 66.7% of the Company's share capital and theoretical voting rights from Everest UK Holdco Limited and the Company’s founder. Following completion of such acquisition on 17 December 2024, BidCo filed a simplified mandatory tender offer for the remaining shares of the Company with the French Autorité des marchés financiers, which was opened on 13 February and closed on 28 February 2025. Following the completion of the simplified tender offer, the applicable legal and regulatory conditions being met, a squeeze-out procedure for the remaining shares of the Company was implemented on 21 March 2025, and the Company subsequently delisted from Euronext Paris.
